Welcome to Ozzy Offers™. These Terms of Service ("Terms") govern your use of the Ozzy Offers website at ozzyoffers.com and related services (collectively, the "Service"). The Service is operated by Ozzy Offers, LLC, located at 1408 US Hwy 45 Bypass, Jackson, TN 38305 ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Ozzy Offers is an AI-powered vehicle purchasing platform that acquires used vehicles directly from consumers. Through the Service, you can:

• Submit your vehicle information (VIN, mileage, condition, and photos) to receive an estimated offer range.
• Lock in a specific offer amount within the provided range.
• Schedule a vehicle inspection appointment at our dealership or at a location of your choosing.

Our valuations are generated using AI-powered analysis of market data, vehicle specifications, and the condition information you provide. Estimates are intended to give you a transparent, no-pressure starting point for selling your vehicle.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements. You must be the registered owner of the vehicle or have legal authority to sell it on behalf of the owner.

3. Offer Terms and Disclaimers

Please read this section carefully:

• Estimates are not binding offers. The offer range and locked offer amounts displayed on the platform are estimates based on the information you provide and available market data. They do not constitute a binding offer to purchase your vehicle.
• Offers are not final until completed in person. A vehicle purchase is only finalized after an in-person inspection confirms the vehicle's condition matches the information provided, all required documents (title, registration, identification) are presented, and a purchase agreement is signed by both parties.
• Locked offers are valid for 48 hours. Once you lock an offer amount, that price is held for 48 hours from the time of locking. After expiration, you may request a new estimate.
• Offers may require review. Some offers may be placed under administrative review before approval, particularly for higher-value vehicles or lower-confidence valuations.
• Final price may be adjusted. If the vehicle's actual condition differs materially from what was described or photographed during the online process, the final purchase price may be adjusted accordingly, or we may decline to complete the purchase.

4. Your Responsibilities

When using the Service, you agree to:

• Provide accurate, complete, and truthful information about your vehicle, including its condition, mileage, VIN, and any known mechanical or cosmetic issues.
• Disclose all existing liens, loans, or encumbrances on the vehicle.
• Upload authentic, unaltered photos of your actual vehicle.
• Represent that you are the legal owner of the vehicle or have proper authorization to sell it.
• Not use the Service for any fraudulent, deceptive, or unlawful purpose.
• Not interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems.

5. Vehicle Inspection

All vehicle purchases are subject to an in-person inspection. The inspection verifies the vehicle's condition, confirms the information you provided, and ensures all required documentation is in order. You will need to bring:

• Vehicle title (clean, in your name)
• Valid government-issued photo ID
• Current vehicle registration
• All available keys and remotes
• Lien release or payoff information, if applicable

6. SMS and Email Consent

By providing your phone number and opting in during the offer process, you consent to receive SMS text messages from Ozzy Offers related to your vehicle offer, session status, and appointment scheduling. Messages are sent via Twilio. Message frequency varies. Standard message and data rates may apply.

You may opt out of SMS at any time by replying STOP to any message. Reply HELP for assistance. Opting out of SMS will not affect your ability to use the Service, but you may miss important updates about your offer or appointment.

By providing your email address, you consent to receive transactional emails including offer estimates, status updates, and appointment confirmations. These are service-related communications necessary to fulfill your request.

SMS and email consent is not a condition of purchasing any goods or services.

7. Intellectual Property

The Service, including its design, text, graphics, logos, icons, software, and the AI-powered valuation technology, is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws. The Ozzy Offers name, logo, and related branding are trademarks of Victory Honda of Jackson.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code of the software, unless applicable laws prohibit these restrictions or you have our written permission.

By uploading photos and audio recordings to the Service, you grant us a limited, non-exclusive license to use that content solely for the purpose of generating your vehicle valuation, facilitating the transaction, and improving our service.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, or that valuations will be accurate in all cases. AI-generated valuations are estimates and may differ from the final purchase price.
• In no event shall Ozzy Offers, LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.
• Our total aggregate liability for any claims arising from the Service shall not exceed the amount of the vehicle transaction in question, or $500, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless Ozzy Offers, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your provision of inaccurate vehicle information.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Madison County, Tennessee, and you consent to the personal jurisdiction of such courts.

11. Modifications to These Terms

We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the changes, you should discontinue use of the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, without notice, if we believe you have violated these Terms or for any other reason at our sole discretion. Upon termination, any pending offers that have not been finalized in person are void. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) shall survive.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
